OVERVIEW

This Terms of Use Agreement (the “Agreement”) sets forth the terms and conditions which apply to your use of the CoreIP Solutions, Inc. (“CoreIP”) website. By accessing this site, you are indicating that you agree to be bound by all of the terms and conditions of this Agreement.  If you object to anything in this Agreement, do not use the CoreIP’s website.

ELECTRONIC AGREEMENT

This Agreement is an electronic contract that sets out the legally binding terms of your use of the CoreIP website. This Agreement may be modified by CoreIP from time to time. By accessing the CoreIP website, you accept this Agreement and agree to the terms, conditions and notices contained or referenced herein.  Further, by accessing the CoreIP website, you consent to have this Agreement provided to you in electronic form.

You have the right to receive this Agreement in non-electronic form. You may request a non-electronic copy of this Agreement either before or after you electronically sign the Agreement. To receive a non-electronic copy of this Agreement, please send an e-mail to info@coreipsolutions.com or a letter and self-addressed stamped envelope to: 2525 Main Street, Suite 275 Irvine, CA 92614.

TERM

This Agreement will remain in full force and effect while you use the CoreIP website. You may terminate this Agreement, for any reason, by emailing notice of termination to info@coreipsolutions.com or sending a letter and self-addressed stamped envelope to: 2525 Main Street, Suite 275 Irvine, CA 92614.  CoreIP may terminate this Agreement by sending notice to you at any address or electronic address you provide CoreIP.  All terms that, by their nature, may survive termination of this Agreement shall be deemed to survive such termination.

PRIVACY OF INFORMATION

CoreIP recognizes its professional obligation to maintain the confidentiality of your information, and recognizes its obligations concerning the personal information of all individuals that CoreIP collects, use or disclose to users.

If you have any questions with respect to CoreIP’s policies concerning the handling of your personal information, or if you wish to request access to, or correction of, your personal information under our care and control, please contact our Privacy Officer at:  2525 Main Street, Suite 275 Irvine, CA 92614 or refer to our Privacy Policy on the CoreIP website.

By accepting this Agreement, you acknowledge that:

(a) CoreIP cannot ensure the security or privacy of information you provide, directly or indirectly, through the Internet, and you release us from any and all liability in connection with the use of such information by other parties;

(b) CoreIP is not responsible for, and cannot control, the use by others of any information which you provide to them and you should use caution in selecting the personal information you provide to others through our website; and

You may not use the CoreIP website for any unlawful purpose. If you use CoreIP’s website unlawfully, CoreIP will pass along all information to law enforcement.

USER AGREEMENT

This Agreement constitutes your agreement with CoreIP with respect to your use of the CoreIP website. You must agree to abide by all of the terms and conditions contained in this Agreement in order to use the CoreIP website.

RIGHT TO USE

Your right to use the CoreIP website is subject to any limitations, conditions and restrictions established by us from time to time, in our sole discretion. CoreIP may alter, suspend or discontinue any your use of the CoreIP website at any time, including the availability of any feature, database or content. CoreIP may also impose limits on certain features and aspects of the CoreIP website, or may restrict your access to parts or all of the CoreIP website without notice or liability.

TERMINATION OF ACCESS TO SERVICE

CoreIP may, in its sole discretion, terminate or suspend your access to all or part of the CoreIP website at any time, with or without notice, for any reason, including, without limitation, breach of this Agreement. Without limiting the generality of the foregoing, any fraudulent, abusive, or otherwise illegal activity, or that may otherwise affect the enjoyment of the CoreIP website or the Internet by others may be grounds for termination of your access to all or part of the CoreIP website at CoreIP’s sole discretion, and you may be referred to appropriate law enforcement agencies.

NO RESPONSIBILITY

You acknowledge that CoreIP is not responsible for suspension of the CoreIP website, regardless of the cause of the interruption or suspension.

You further acknowledge that CoreIP is not responsible for any charges incurred by any of its users for use of, but not limited to, cell phone or internet services on CoreIP’s website.  By accepting the terms of this agreement, you hereby waive any claim against CoreIP to any amount charged by your cell phone, internet or other media provider and you agree to hold CoreIP harmless for any dispute which arises between you and your cell phone, internet or other media provider.

DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

YOU UNDERSTAND AND AGREE THAT YOU USE THE COREIP WEBSITE AT YOUR OWN RISK. COREIP’S WEBSITE IS PROVIDED ON AN “AS IS” BASIS WITHOUT REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF TITLE, NON-INFRINGEMENT, OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OTHER THAN THOSE WARRANTIES WHICH ARE INCAPABLE OF EXCLUSION UNDER LAW.

COREIP DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR TIMELINESS OF, OR OTHERWISE ENDORSE ANY INFORMATION CONTAINED ON COREIP’S WEBSITE. YOU ACKNOWLEDGE THAT USE OF THE WEBSITE OR SERVICE IS AT YOUR OWN RISK.

YOU HEREBY ACKNOWLEDGE AND AGREE THAT UNDER NO CIRCUMSTANCES WILL COREIP, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND THIRD PARTY CONTENT PROVIDERS OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOSS WHATSOEVER CAUSED BY YOUR USE OR RELIANCE ON INFORMATION OBTAINED THROUGH THE CONTENT DISTRIBUTED BY COREIP AS WELL AS ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES OR INJURY ARISING OUT OF THE USE OR INABILITY TO USE THE COREIP WEBSITE OUT OF THE BREACH OF ANY WARRANTY, OR CAUSED BY ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS, COMMUNICATION LINE FAILURE, THEFT OR DESTRUCTION OR UNAUTHORIZED ACCESS TO AND/OR ALTERATION OF THE COREIP WEBSITE, NO MATTER WHETHER SUCH CLAIMS ARE BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR ANY OTHER CAUSE OF ACTION, AND REGARDLESS OF WHETHER COREIP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SOME JURISDICTIONS LIMIT THE AVAILABILITY OF SUCH LIMITATION OF LIABILITY, IN WHICH CASE THE PROVISIONS OF THIS SECTION MAY NOT APPLY TO YOU.

INDEMNITY

You hereby agree to indemnify, defend and hold harmless CoreIP and all officers, directors, owners, agents, information providers, affiliates, licensors and licensees (collectively, the “Indemnified Parties”) from and against any and all liability and costs, including, without limitation, reasonable attorneys’ fees, incurred by the Indemnified Parties in connection with any claim arising out of any breach by you of this Agreement or the foregoing representations, warranties and covenants. You shall cooperate as fully as reasonably required in the defense of any such claim. CoreIP reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you.

MISCELLANEOUS

This Agreement represents the entire agreement between you and CoreIP regarding the use of our website and supersedes any other agreement or understanding on the subject matter. This Agreement, your rights and obligations, and all actions contemplated by this Agreement shall be governed by the laws of the State of California. As a condition of using CoreIP’s website, each user agrees that any and all disputes and causes of action arising out of or connected with CoreIP, shall be resolved through arbitration, with such arbitration to be held in Orange County, California.

If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and be enforceable. This Agreement is not assignable or transferable without the prior written consent of CoreIP. CoreIP may assign this Agreement in whole or in part, without the consent of its users or any other party hereto. No agency, partnership, joint venture, or employment is created as a result of this Agreement. Headings are for convenience only and have no legal or contractual effect. All notices under this Agreement shall be in writing and shall be deemed to have been duly given when receipt is electronically confirmed, if transmitted by facsimile or email or upon receipt, if sent by certified or registered mail, return receipt requested.

MODIFICATIONS

CoreIP may modify this Agreement from time to time. Notification of changes in this Agreement will be posted on the CoreIP website or sent via electronic mail, as we may determine in our sole discretion. If you do not agree to any modifications, you should terminate your use of the CoreIP  website. Your continued use of the CoreIP website now, or following the posting of notice of any changes in this Agreement, will constitute a binding acceptance by you of this Agreement, or any subsequent modifications.

COPYRIGHT PROTECTIONS

You may not post, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information without obtaining the prior written consent of the owner of such proprietary rights.  Use of any of CoreIP’s trademarks, patents or copyrights will be prosecuted by CoreIP to the fullest extent permitted by law.

Nothing contained in this site shall be construed as conferring by implication or otherwise, any license or right to any copyright, patent, trademark or other proprietary interest of CoreIP or any third party. This site and the content provided in this site, including, but not limited to, graphic images, audio, video, html code, buttons, and text, may not be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any way, without the prior written consent of CoreIP, except that you may download, display, and print one copy of the materials on any single computer solely for your personal, non-commercial use, provided that you do not modify the material in any way and you keep intact all copyright, trademark, and other proprietary notices.
